Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Guide," "User," or "you") and OutfitterDesk ("Company," "we," "us," or "our") governing your access to and use of the OutfitterDesk platform, website, and related services (collectively, the "Service") available at outfitterdesk.com.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

OutfitterDesk is a software-as-a-service (SaaS) platform built for hunting and fishing guides and outfitters. The Service provides tools for client management, trip scheduling, digital waiver collection, invoice generation, and payment collection.

OutfitterDesk acts as a platform intermediary. We do not process payments directly — client payments are processed by third-party payment processors (Stripe, Square, or QuickBooks Payments) that you connect to your account. OutfitterDesk does not take a percentage of your client transactions. We charge only our stated monthly subscription fee.

3. Account Registration

You must be at least 18 years old and legally authorized to operate a guide or outfitter business to register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@outfitterdesk.com if you suspect unauthorized access.

4. Subscription Plans & Billing

OutfitterDesk offers tiered subscription plans (Starter, Pro, Lodge) with different feature sets and pricing. Current pricing is displayed at outfitterdesk.com. We reserve the right to modify pricing with 30 days' written notice.

Subscriptions are billed monthly in advance. Payment is processed via Stripe on behalf of OutfitterDesk. By providing a payment method, you authorize us to charge your subscription fee on a recurring basis until you cancel.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

5. Payment Processing & Third-Party Processors

To collect payments from your clients, you may connect a third-party payment processor to your OutfitterDesk account. Currently supported processors include:

  • Stripe — stripe.com. Subject to Stripe's Connected Account Agreement.
  • Square — squareup.com. Subject to Square's Seller Agreement.
  • QuickBooks Payments (Intuit) — intuit.com. Subject to Intuit's Payment Services Agreement.

When you connect a payment processor, you agree to that processor's terms of service. OutfitterDesk is not a party to payment transactions between you and your clients. Standard processing fees charged by the payment processor (e.g., Stripe's 2.9% + 30¢ per transaction) are separate from OutfitterDesk's subscription fee and are governed solely by your agreement with the processor.

OutfitterDesk does not store full payment card numbers. Payment credentials are tokenized and held by the respective payment processor.

6. Client Data & Waivers

You are responsible for all data you enter about your clients, including names, contact information, emergency contacts, and hunting/fishing license numbers. You represent that you have the authority and, where required by law, the consent to collect and process this information.

Digital waivers generated through OutfitterDesk are provided as a convenience tool. OutfitterDesk does not provide legal advice. You are solely responsible for ensuring your waiver content meets applicable state and local legal requirements. Consult an attorney to confirm your waivers are enforceable in your jurisdiction.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Transmit fraudulent, misleading, or deceptive content
  • Harvest or scrape data from the platform
  • Attempt to gain unauthorized access to any part of the Service
  • Resell or sublicense access to the Service without written consent

8. Intellectual Property

The Service and all associated software, design, trademarks, and content are the property of OutfitterDesk and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

Your client data, waiver templates, and business information remain yours. You grant OutfitterDesk a limited license to process and store that data solely to provide the Service.

9. Data Security

We implement commercially reasonable security measures to protect your data, including encryption at rest and in transit, role-based access controls, and secure infrastructure hosted on Supabase and Vercel. However, no method of transmission or storage is 100% secure. We cannot guarantee absolute security.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUTFITTERDESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO OUTFITTERDESK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately for material breach of these Terms, failure to pay, or illegal activity. Upon termination, your right to access the Service ceases. You may request a data export within 30 days of termination.

13. Data Deletion

You may request deletion of your account and all associated data by emailing support@outfitterdesk.com. We will process deletion requests within 30 days, subject to any legal retention obligations.

14. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Missouri.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
